| 内容記述 | New Corporation Act was formed in 2005, and came into force in 2006. Many issues have appeared in academic circle and in the economic world. I intend to explain a few issues in this thesis, especially issue of nullity of issuance of new shares. On this issue, there are many different court decisions and theories. Then, I survey and examine representative court decisions and theories, especially, in closely small held corporation. This examination is very significant because there are many closely small held corporations in Japan. It is important to take legal security, uniformed disposition and concrete equality into consideration. | |||||||||||||
